Welcome to AnyCampus (the β€œPlatform”). This document outlines the terms and conditions (the β€œTerms”) that govern your use of the Platform. We urge you to read and understand these Terms before using the Platform.

Overview

  1. AnyCampus is a CtoC educational platform that enables direct interactions between Instructors and Students for the provision and reception of educational content (the β€œContent”).

  2. Both Instructors and Students are required to set up user accounts to provide and receive the Content on the Platform.

  3. Users may create an account by connecting a crypto wallet instead of using an email address and password.

Account Management

  1. Users are solely responsible for safeguarding their account information, including wallet details, and must not share it with others. The Platform is not liable for any loss of private keys associated with your wallet.

Content Provision and Enrollment

  1. Instructors who have received approval from the Platform are authorized to provide educational content, which is accessible to Students upon payment of fees to the Instructors through the Platform.

Content Licensing and Platform Rights

  1. The Content Students or Instructors post remains theirs. However, by uploading Content to the Platform, Users grant AnyCampus a worldwide, non-exclusive, sublicensable, and transferable license to use, reproduce, distribute, create derivative works from, publicly display, and perform the Content in connection with the Platform and AnyCampus’ (and its affiliates’) business operations. This includes the use of the Content for promotion or redistribution of the Platform, in whole or in part. This license is granted on a royalty-free basis, and Users acknowledge that they will not receive compensation for any use of their Content by our company.

  2. AnyCampus and its Instructors collectively hold rights to the content, materials, videos, texts, images, and other intellectual property on the Platform. Users must represent and warrant the following:

    • License: Users are granted a non-exclusive, temporary license to access the Content for personal, non-commercial, and informational purposes.

    • Restrictions: Reproducing, redistributing, selling, or sharing the Content is prohibited and constitutes an infringement of intellectual property rights.

    • Lawful Purposes: Users must only use the Content lawfully and shall not reproduce, modify, decompile, disassemble, reverse engineer, or create derivative works from the Content.

    • Appropriate Credit: Users must give and display appropriate credit and not remove or alter any copyright notice or credits in accordance with copyright laws.

    • Misuse: User shall not misuse, unauthorized use, and resale of the Content.

  3. In cases of intellectual property rights infringement by a User, AnyCampus reserves the right to take legal action and may restrict or terminate the User’s account.

Content Standards

  1. By submitting a curriculum, you agree to the following content standards:

    • As an Instructor, you are responsible for all content within the curriculum.

    • You acknowledge that we may reject or remove the publication of your curriculum if it does not meet content standards.

  2. You warrant not to post content that includes the following:

    • Content that infringes on third-party intellectual property rights.

    • Content that violates the legal rights of third parties, including privacy rights and publicity rights.

    • Content that is negative, discriminatory, or violent toward specific individuals or groups.

    • Content disclosing personal or confidential information about oneself or others.

    • Content promoting threatening, abusive, or harassing behavior.

    • Content containing obscene, offensive, hateful, or otherwise inappropriate material.

    • Content spreads false, misleading, fraudulent, or defamatory information.

    • Content that restricts, impedes, adversely affects, or interferes with the curriculum content or enjoyment of other creators

    • Content posing a risk of damage or impairment to AnyCampus services.

Payment

  1. Payment for Content can be made in ETH, USDC or other payment methods. Additional Platform usage fees and charges compliant with regional laws may apply. Further details are available on the Platform.

Refund Policy

  1. The refund policy is outlined in the subsequent points.

    • Eligibility Period: Refund requests must be completed within 14 days of the purchase date.

    • Partial Refunds: We do not issue partial refunds for any curriculum purchases.

    • Please note that submitting a refund request form and receiving approval are essential steps in the refund process. However, to complete the refund, you must actively cancel the curriculum within 14 days of the original purchase.

  2. How to Submit a Request

    • Submit the Form: Fill out and submit the refund request form.

    • Wait for Approval: Please allow up to 5 business days for us to review your request. You will receive a notification upon approval.

    • Complete the Refund: After approval, a β€œCancel” option will appear next to the relevant curriculum on your dashboard. Click β€œCancel” to finalize your refund.

    • Note that approval does not automatically complete the refund process. Cancellation through your dashboard is required within the 30 days of the purchase.

  3. To maintain the integrity of our marketplace and ensure fairness to both tutors and learners, we may deny refund requests under the following conditions:

    • If you have consumed a significant portion of the curriculum.

    • If you have already received refunds for two other curriculums on the platform.

    • If you have previously received a refund for the curriculum you are currently requesting a refund for.

    • If your account has been reported, banned, or had curriculum access disabled due to violations of our Terms of Service.

  4. Refunds are typically processed within 30 days after the curriculum is canceled from your dashboard. If you have not received your refund after this period, please contact us on Discord for assistance.

  5. Refunds will be issued in the same currency and through the same network as the original purchase transaction.

  6. Users are responsible for any blockchain gas fees incurred during the refund process. The amount refunded will be the total curriculum fee minus the gas fee. AnyCampus is not liable for the failure of refund requests due to insufficient funds for covering these fees.

  7. If the transaction uses ETH, you will see the transferred value in the β€œTo” section on the transaction details page. For transactions using USDC, check the "Token Transfers" section of the transaction details on Etherscan. Especially for the transactions using OP mainnet and USDC, click on the address that you interacted with and then select the "Token Transfers (ERC20)" section. This will show the value transferred to your address.

Responsibilities

  1. Users are solely responsible for their use of the Platform, including the selection of Content, and must keep their wallet and account information secure.

  2. AnyCampus will not be liable for any direct, indirect, consequential, punitive, special, or incidental damages (including, without limitation, damages for loss of business, contract, revenue, data, information, or business interruption) incurred by the user in the use of the Platform.

  3. AnyCampus is a very early stage platform. Users who agree to these terms shall use the platform with full understanding thereof and shall not be entitled to claim any damages due to lack of support.

Limitation of Liability

  1. The Platform makes no warranties or representations regarding the quality or accuracy of the Content. AnyCampus will not be liable for any risks or damages incurred by Users while using the Platform. Notwithstanding the Terms and other provisions that exempt our company from liability for damages, in cases where our company is liable for damages to Users due to legal provisions or other reasons, our liability shall be limited to 100 US dollars.

  2. Any transactions, communications, or disputes related to the Platform between users and third parties must be resolved by the involved parties. AnyCampus shall not be liable for such matters.

Termination

  1. We may terminate this Agreement and Users’ access to the Platform at any time, with or without notice, at our discretion. Users may also terminate this Agreement by deleting their account and ceasing use of the Platform. Upon termination, all rights under these Terms cease immediately, and the User’s access to the Platform and Content is suspended forthwith.

Survival

  1. The provisions of Articles 6.1, 7, 8.2 and 10 hereof shall remain effective after the expiration or termination of this Agreement.

Governing Law and Jurisdiction

  1. This Agreement is governed by and construed in accordance with the laws of Singapore. All disputes, controversies, or differences (β€œDisputes”) arising from these Terms shall be resolved by arbitration at the Singapore International Arbitration Centre ('SIAC') in accordance with its Rules of Arbitration.
